Terms of Service

Welcome to CodeBridge Marketplace. These Terms of Service ("Terms") govern your use of our website and Developer operating system platform (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing our Service, or using any part of CodeBridge Marketplace, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. User Accounts

Account Types

CodeBridge offers three account types:

• Vibe-Coder: For individuals hiring developers or requesting code reviews
• Developer: For developers earning by building projects and providing code reviews
• Business: For companies hiring multiple developers or teams

Account Requirements

When registering for any account type, you must:

• Provide accurate, current, and complete information
• Be at least 18 years of age
• Maintain the security of your password and account
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any conduct we deem harmful to the platform or other users.

3. Code Import and Workspaces

Code Ownership

You retain all intellectual property rights to your original code and content. When you upload code to CodeBridge Operating system via GitHub integration, ZIP files, or direct input:

• You maintain full ownership of your code
• Rank'd Technologies, LLC (CodeBridge Marketplace) claims no ownership over user-uploaded repositories
• AI-generated code in your private workspaces belongs to you
• Code shared in collaborative workspaces is governed by the collaboration agreement

License to Use Service

By uploading code to our Service, you grant CodeBridge a limited, non-exclusive license to:

• Store and display your code within the platform
• Enable AI code generation and review features
• Facilitate collaboration between you and hired developers

4. Payments and Escrow

Payment Processing

All financial transactions are processed securely through Stripe. By using our payment features, you agree to Stripe's Terms of Service.

Milestone-Based Payments

Developer engagements are managed through milestone-based payments:

• Funds are held in secure escrow until milestone completion
• Vibe-Coders approve completed milestones to release payment
• Developers receive payment within 5-7 business days of approval
• Disputed milestones are subject to our dispute resolution process

Platform Fees

Rank'd Technologies LLC (Codebridge Marketplace) charges platform fees on all transactions:

• Vibe-Coders: 8% platform fee per transaction
• Businesses: 12% platform fee per transaction
• Enterprise: Custom pricing available

Platform fees are non-refundable once work has commenced.

Subscription Fees

Monthly subscriptions are billed automatically:

• Developer Plus: $29/month
• Business: $49/month
• Cancellations take effect at the end of the current billing period
• No partial refunds for monthly subscriptions

5. Code Reviews

Our code review marketplace offers professional code reviews at fixed pricing:

• Standard (48-72 hours): $99
• Priority (24 hours): $199
• Express (12 hours): $399

Code reviewers are vetted professionals who sign NDAs. Reviews include security analysis, performance optimization suggestions, and best practices recommendations.

6. Prohibited Conduct

Users agree NOT to:

• Distribute malicious code, viruses, or malware through the platform
• Circumvent payment systems to hire developers off-platform
• Misrepresent skills, experience, or qualifications
• Engage in fraudulent transactions or payment disputes
• Share account credentials with others
• Scrape or harvest data from the platform
• Interfere with platform security or functionality
• Violate any applicable laws or regulations
• Harass, threaten, or abuse other users
• Post content that infringes on intellectual property rights

7. Dispute Resolution

Milestone Disputes

If a Vibe-Coder and Developer disagree on milestone completion:

• Either party can open a dispute within 14 days of delivery
• Our dispute resolution team reviews all evidence
• Decisions are made within 5 business days
• Escrow funds are released based on the team's decision
• Both parties agree to accept the platform's final decision

Arbitration

Any disputes not resolved through our internal process shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association.

8. Intellectual Property

Platform Content

CodeBridge Marketplace, including its design, features, and original content, is owned by Rank'd Technologies, LLC and protected by copyright, trademark, and other intellectual property laws.

User Content

Users retain ownership of content they create or upload, but grant CodeBridge a license to display and facilitate services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Rank'D Technologies, LLC (Codebridge Marketplace) SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Quality of work delivered by developers
• Third-party actions or conduct
• Any damages exceeding the amount paid to Rank'd Technologies, LLC in the prior 12 months

10. Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:

• Uninterrupted or error-free service
• Specific results from using the platform
• Quality of developer work (though we vet all developers)
• Accuracy of AI-generated code

11. Indemnification

You agree to indemnify and hold harmless CodeBridge Marketplace from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your use of the Service
• Your violation of any rights of third parties
• Content you upload or share

12. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes via:

• Email notification to registered users
• Prominent notice on the platform
• Updated "Last Updated" date

Continued use of the Service after changes constitutes acceptance of the new Terms.

13. Termination

Either party may terminate this agreement:

• Users: May close their account at any time
• CodeBridge Marketplace: May terminate accounts for Terms violations
• Active projects and escrow will be handled per our refund policy
• Termination does not affect accrued rights or obligations

14. Governing Law

These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict of law principles.
